General Terms and Conditions of Sale

These Terms of Sale ("Terms") govern all purchases of products ("Products") and subscription services ("Subscription Services") from the applicable Monil entity identified in the relevant Quote, Order confirmation, invoice or checkout process (the "Monil Contracting Entity") by business customers ("Buyer").
The Monil Contracting Entity will be:
- Monil AS, org. nr 928 704 823, unless another Monil entity is identified in the applicable Order;
- Monil AB, org. nr 559587-7920, for Orders for which Monil AB is identified as the seller
These Terms apply together with Monil's Terms of Use and Privacy Policy, which are incorporated by reference.
1. General Scope and Application
These Terms apply to all sales of Products and Subscription Services by Monil unless otherwise expressly agreed in writing.
Any purchase terms, standard conditions, or other contractual provisions submitted by the Buyer shall not apply unless expressly accepted in writing by Monil. Monil expressly rejects any conflicting or additional terms proposed by the Buyer.
Monil reserves the right to amend these Terms from time to time. Material changes shall be communicated to active customers at least thirty (30) days before becoming effective. Continued use of Products or Subscription Services after the effective date constitutes acceptance of the revised Terms. If a Buyer does not agree to the revised terms, they may cancel their subscription in accordance with Section 5.
Monil is entitled to modify any Products it offers, or to discontinue Services, at any time, subject to providing reasonable notice to active subscribers.
2. Prices and Taxes
Prices are stated in the currency specified in the applicable quotation, order confirmation, invoice, or Website.
The price for Products and the fee for Subscription Services is displayed on the Website or in the quote. Any applicable shipping costs will be added to the total amount and displayed on the Website checkout or in the provided quote.
All prices are exclusive of value added tax or any other potential taxes or customs duties, which are to be paid additionally by the Buyer in the amount specified by applicable law.
Monil reserves the right to adjust prices on its Website at any time.
Monil will give 90 days' prior written notice for any price increases for Subscription Services. Any price increases will only apply to subsequent billing periods.
3. Orders
By accepting a Quote the Buyer submits a binding purchase order. The Buyer must review order details before accepting the quote.
The display of Products on the Website does not constitute a binding offer. After an Order is placed in the Website and payment provided (or payment terms accepted), Monil will send an order confirmation to the email address provided. This confirmation serves informational purposes only and does not constitute acceptance of the Order. Monil accepts the Order either by sending an explicit acceptance notice or by dispatching the Product(s). If Monil refuses an Order, it will notify the Buyer by email within thirty (30) days.
4. Payment
Orders placed on the Website may be paid by credit card, debit card, or other payment methods displayed at checkout. If paid by credit card or debit card, 100% of the purchase price is charged when the Buyer places the Order. If the Buyer selects an invoice payment option (where offered), payment is due in full within 14 days of the invoice date.
Monil reserves the right to require prepayment in full from any Buyer, prior to shipment or fulfillment of an Order. Where prepayment is required, Monil will clearly disclose this requirement before the Buyer completes the Order. Monil is not obligated to ship Products or initiate fulfillment until prepayment has been received in full. This policy applies regardless of the payment method chosen.
In cases of prior payment default or reasonable documented doubt regarding a Buyer's solvency or creditworthiness, Monil reserves the right to require security, prepayment, or to accelerate all outstanding amounts.
All overdue amounts shall accrue interest at the maximum applicable statutory rate for late payment under the law governing these Terms, from the due date until payment in full.
Monil may suspend or terminate Services immediately for non-payment or material violations of these Terms. Termination shall not relieve the Buyer of payment obligations accrued prior to termination.
Payment Processing ProviderPayments made through the Website or Customer portal are processed by Stripe, Inc. and its affiliates (“Stripe”). By submitting payment information, the Buyer authorizes Monil and Stripe to charge the selected payment method for all amounts due, including recurring subscription charges, applicable taxes, shipping charges, and any authorized adjustments under these Terms.
Payment information is transmitted directly to Stripe using industry-standard encryption. Monil does not store full payment card numbers.
Stripe may use fraud prevention, identity verification, and risk-monitoring tools in connection with payment processing. Use of Stripe is subject to Stripe’s own terms and privacy practices.
5. Subscription Services
Monil's Services are sold on a subscription basis. For first time purchase of Products, the subscription commences upon time of shipment of the goods. For subscription purchase directly on our website portal, the subscription commences upon purchase.
The subscription will automatically renew at the end of each billing period unless cancelled before renewal. The recurring charge amount and frequency will be clearly disclosed at checkout at the Website, in the Quote and in the order confirmation email.
Buyers may cancel at any time, and cancellation will take effect at the end of the current billing period. To cancel, Buyers may contact support@monil.com or use the cancellation option available in their customer portal where the Buyer can adjust the number of subscriptions.
Monil is not responsible for fees charged by the Buyer's bank or payment provider.
Subscription and usage-based adjustments and subscription true-up Monil’s subscription fees are based on the number of active collars in use. A collar is deemed active when it is assigned to an animal within the system.
Monil reserves the right to monitor actual usage and compare it to the number of subscribed collars. If the number of active collars exceeds the subscribed quantity, Monil will invoice the Buyer in arrears for such excess usage at the applicable subscription rate and will automatically initiate a new subscription commitment for the corresponding number of additional collars, with a minimum term of twelve (12) months from the date such collars are first activated.
The Buyer is responsible for ensuring that the number of subscribed collars accurately reflects actual usage at all times.
6. Delivery
Monil will strive to ship Products within the timeframe stated on the Website or at checkout. If no timeframe is stated, Monil will ship within 30 days of receiving a completed Order and full payment (or accepted payment terms). If Monil cannot ship within the stated or 30-day period, Monil will: (1) notify the Buyer of the delay and provide a revised shipping date; (2) offer the Buyer the option to consent to the delay or cancel the order and receive a full refund; and (3) process refunds promptly if the Buyer does not consent to the delay.
By placing an Order, the Buyer acknowledges they may be pre-ordering a product not yet manufactured or ready to ship, and that estimated delivery dates are approximate.
Monil reserves the right to make partial deliveries where doing so does not unreasonably affect the Buyer.
Products will be delivered to the address specified at checkout. PO Box addresses are not accepted. The Buyer is responsible for providing a correct and complete delivery address. Monil is not liable for losses resulting from an incorrect address provided by the Buyer.
Delivery is deemed complete when the Buyer or their representative takes possession of the Product(s). If delivery is attempted but the Product is not collected or received due to circumstances attributable to the Buyer, risk of loss passes to the Buyer at the time of the attempted delivery.
Monil reserves the right to charge reasonable additional shipping, storage, and handling costs resulting from the Buyer's failure to collect Products in a timely manner.
7. Territory and Supported Use
Monil Products are sold and supported only in the country in which they were originally purchased. Buyers may not transport, export, or use Monil Products outside the country it was purchased without prior written approval from Monil. Unauthorized cross-border use may void the warranty. Buyers are solely responsible for compliance with all applicable export and import laws.
8. Cancellation
Monil does not accept returns of Products that are not defective or incorrectly delivered. Warranty claims for defective Products are governed by Section 10. Buyers are advised that Monil's general policy is no-returns on non-defective items.
Monil reserves the right to cancel the Order before the shipment date at Monil’s own discretion. In the event of such cancellation, Monil will refund the full purchase price if already paid.
Buyers may withdraw from the contract until the Product is shipped (Withdrawal period). If a Buyer wishes to withdraw, they must notify Monil at support@monil.com within the Withdrawal Period. Monil will confirm receipt and provide refund instructions. Withdrawal requests received outside the Withdrawal Period will not qualify for a refund under this Section.
If the Buyer received any promotional or other discount at the time of payment, any refund will only reflect the amount the Buyer actually paid. Refunds under this clause are made using the same method originally used by the Buyer.
9. Intellectual Property Rights
As between the parties, Monil solely owns all intellectual property rights in and to the Products and Services, including their design, hardware, technology, software, firmware, algorithms, functionality, documentation, trademarks, and all improvements or modifications thereto.
Buyer retains all right, title, and interest in and to data generated through Buyer's direct use of the Products and Services, such as location data and sensor data ("Customer Activity Data"). Monil will not sell Customer Activity Data to third parties without the Buyer’s consent.
Buyer grants Monil a non-exclusive, worldwide, royalty-free license to host, process, use, transmit, and otherwise process Customer Activity Data solely to the extent necessary to provide, maintain, support, secure, improve, and develop the Products and Services and to comply with applicable law.
Monil may use Customer Activity Data only in aggregated and/or de-identified form for analytics, benchmarking, product improvement, research, and development, provided such data cannot reasonably be used to identify Buyer or Buyer's operations.
Buyer shall not: (i) copy, modify, or reverse engineer any part of the Products or Services; (ii) decompile or disassemble any software; (iii) create derivative works; (iv) rent, lease, or distribute rights to the Products or Services; (v) export the Products outside the Territory without Monil's prior written approval (see also Section 7); or (vi) use the Products or Services to build a competitive product or service.
Buyer obtains no proprietary rights in Monil's trademarks, service marks, trade names, copyrighted material, or patents. Except for Customer Activity Data, the compilation, organization, selection, arrangement, software, databases, user interfaces, and other intellectual property embodied in the Products and Services are the exclusive property of Monil and are protected by applicable intellectual property laws.
10. Limited Warranty
The virtual fencing and remote monitoring should not replace regular human inspection. Land managers and stock keepers should not solely rely on virtual fencing in preference to physical fencing in situations that are a risk to livestock, humans or other valuable assets. Monil does not guarantee that the animals will always stay within the virtual boundaries. The Buyer should bear this in mind when using the Products and Subscription Services.
Monil makes no representations or warranties regarding the usefulness, accuracy, effectiveness, or uninterrupted and error-free operation of the Subscription Services.
Monil reserves the right to, in its sole discretion, modify, update, enhance, or discontinue any features, functionalities, or components of the Subscription Services at any time. Reasonable efforts will be made to notify the Buyer in advance of significant changes. Modifications may include updates to functionality, adjustments to the user interface, performance enhancements, or the removal of specific features.
Monil also reserves the right to perform both scheduled and unscheduled maintenance on the Subscription Services, which may result in temporary downtime or reduced functionality. Monil will make reasonable efforts to provide prior notice to the Buyer and minimize any disruptions to the Buyer’s use of the Subscription Services.
Monil provides a limited warranty that the Products shall substantially conform to Monil’s specifications and be free from defects in design, materials and workmanship under the normal use for which the Products were designed for a period of sixty (60) months (the “Warranty Period”), calculated from the date of delivery. Normal use is defined as the usage of the Products strictly in accordance with theuser manual and any other specifications or written instructions.
The warranty does not extend to any implied warranty or fitness for a particular purpose or use, irrespective of whether such purpose or use has been communicated by Buyer to Monil or not.
This limited warranty does not cover:
- Lost or stolen Products
- Free Products
- Products repaired by any party other than Monil
- Damage caused by misuse, abuse, neglect, improper handling, or inadequate maintenance
- Products that have been altered or modified
- Damages due to accident
- Damage resulting from external factors, including, but not limited to, damages from third parties, extreme temperatures, water, or other environmental conditions
- Use of the Products in a manner inconsistent with Monil’s specifications or written instructions, including for purposes other than those for which they were designed
- The natural decline in Hardware condition due to regular usage and the expected wear and tear, unless such decline is attributed to a flaw in manufacturing or materials.
The Buyer must contact support@monil.com if a warranty claim is to be made. Monil will assess whether it is covered by warranty. If so, Monil shall, at its option and within reasonable time, either 1) repair, 2) replace or 3) refund defective or non-conforming Products whichare covered by the warranty. The said remedies are exclusive, and Buyer shall not be entitled to put forth any other remedy or claim related to defective or non-conforming Products.
The warranty shall only apply to Products which have been paid for in full with valid proof of purchase. The warranty shall be for the benefit for Buyer only. However, the Warranty Period shall also apply to any second-hand purchases provided that it can be proved that Products are still within the Warranty Period.
Valid proof of purchase:
- Order number from online purchases made through Monil’s website
- Sales invoice
- The Buyer shall notify Monil without undue delay after it has detected that the Products are non-conforming or defective by sending a mail to support@monil.com. Furthermore, the Buyer shall cover the costs of shipping for Products returned to Monil for warranty service and is responsible for any damages during delivery, while Monil will pay for return of Products to Buyer.
11. Network Infrastructure Disclaimer
Monil does not guarantee access to any specific telecommunications, satellite, cellular, GPS, cloud, internet, or other third-party infrastructure provider.
Product performance may depend on infrastructure beyond Monil's control.
Coverage, signal strength, latency, uptime, positioning accuracy, and connectivity may vary by geography and provider.
Monil shall not be liable for losses arising from interruptions, degradation, or unavailability of third-party infrastructure.
12. Limitation of Liability
The Buyer shall be fully responsible and liable for any acts, omissions, or breaches of these Terms s by any individual to whom they grant access to the Products or Subscription Services.
Monil shall not be liable for any direct, indirect, or consequential damages, including but not limited to loss of profits, revenue, goodwill, business interruption arising out of or in connection with Monil's obligations under these Terms, the Subscription Services or Products, or the use of or inability to use the Subscription Services and Products, even if advised of the possibility of such damages. The Buyer should be aware that Monil shall in no event be liable for any loss or claim related to animals moving outside of the virtual boundary grazing area.
In any event, Monil’s maximum and accumulated liability towards Buyer related to Monil’s performance or the use of the Products and/or Subscription Services, whether based on provisions in these Terms, applicable law, statutes, tort law or otherwise, and irrespective of Monil’s conduct, shall in any event be limited to (i) for Products, an amount equal to the purchase price or value of the disputed Products, whichever is lower and (ii) for Subscription Services, the total fees paid by the Buyer during the twelve (12) months preceding the event giving rise to the claim.
The limitation of liability will not apply in the event of gross negligence or wilful misconduct.
13. Indemnification
The Buyer agrees to indemnify, defend, and hold harmless Monil from and against all claims, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to any third-party claims resulting from the use of the Products and Subscription Services.
Monil shall indemnify, defend, and hold harmless the Buyer from and against all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to any allegation that the Subscription Services infringes, misappropriates, or otherwise violates any Intellectual Property Rights of a third party. This obligation is contingent upon the Buyer: (a) promptly notifying Monil in writing of any such claim; (b) granting Monil sole control over the defence and settlement of the claim; and (c) providing Monil with all reasonable assistance in the defence of the claim.
14. Force Majeure
Monil shall not be liable for delayed or defective Products or Subscription Services, or any other failure to meet its obligations due to an unforeseen circumstance or cause beyond its control. This includes any strike, lock-out, labour dispute, inability to obtain labour, utilities or services, application of applicable laws, enemy or hostile actions, sabotage, war, blockades, insurrections, riots, epidemics, washouts, nuclear and radiation activity or fall-out, civil disturbances, explosions, fire or other casualty, or any other cause, whether similar to or dissimilar from the foregoing, provided that it is beyond the control of Monil. Monil shall promptly notify the Buyer of the occurrence of any such event.
In the event of any such delay, defect or failure to fulfil an obligation, performance of the affected obligation shall be suspended for a period of time equal to the time of such delay, unless the delay continues for more than two (2) months, in which case Monil may terminate the agreement in question with immediate effect without incurring any liability.
15. Promotions
Promotional discounts are non-transferable and may not be combined unless expressly stated.
Monil may modify or withdraw promotions at any time.
Abuse of promotional programmes may result in cancellation of Orders or withdrawal of promotional benefits.
16. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by the law applicable to the Monil Contracting Entity:
- where the Monil Contracting Entity is Monil AS, the laws of Norway, with the exclusive jurisdiction of Oslo District Court;
- where the Monil Contracting Entity is Monil AB, the laws of Sweden, with the exclusive jurisdiction of Stockholm District Court.
- where the Monil Contracting Entity is Monil Ltd, the laws of England and Wales, with the exclusive jurisdiction of the courts of England and Wales.
Before commencing legal proceedings, the parties shall attempt in good faith to resolve the dispute through negotiation.
17. Miscellaneous
Should any of the clauses above, in whole or in part, be legally invalid, the validity of the other clauses of these Terms shall remain unaffected.
Any failure to exercise, or delay in exercising, any right or remedy arising from these Terms shall not operate as a waiver thereof.
Monil may assign its rights and obligations without prior written consent. The Buyer may not assign its rights or obligations without prior written consent.
