Monil Terms of Sale

These standard terms and conditions ("Terms and Conditions") govern all orders placed with Monil Inc ("Monil") for customers purchasing in the United States. Please read these Terms and Conditions carefully, as they apply to Monil's Products and Services. Certain parts or features of the Products or Services may be subject to additional terms, policies, or guidelines that are hereby incorporated by reference.

1. General Scope and Application

These Terms and Conditions apply to all sales of products ("Products") and services ("Services") by Monil to the purchaser ("Buyer") in the United States, unless Monil and Buyer explicitly agree otherwise in writing.

Monil reserves the right to change these Terms and Conditions at any time. For existing customers, material changes will be communicated by email or prominent notice on www.monil.com (http://www.monil.com) (the "Website") at least thirty (30) days before taking effect. Continued use of Products or Services after the effective date constitutes acceptance of the revised terms. If a Buyer does not agree to the revised terms, they may cancel their subscription in accordance with Section 5.

In no event shall any preprinted terms or conditions on Buyer's purchase orders, invoices, or other forms be considered an amendment or modification of these Terms and Conditions. Any such terms are hereby objected to and shall be null and void.

These Terms and Conditions apply alongside Monil's Terms of Use and Privacy Policy.

Monil is entitled to modify any Products it offers, or to discontinue Services, at any time, subject to providing reasonable notice to active subscribers.

2. Price and Orders

All prices displayed on the Website are quoted in US Dollars (USD). Prices shown at checkout are exclusive of applicable sales tax, which will be calculated and displayed before the Buyer confirms the Order. Monil collects and remits sales tax in states where it has nexus as required by applicable law. Buyers are responsible for any remaining tax obligations under their applicable state law.

Delivery costs depend on the shipping option chosen by the Buyer and will be displayed in full before Order confirmation.

The display of Products on the Website does not constitute a binding offer. By accepting a Quote the Buyer submits a binding purchase order. The Buyer must review order details before accepting the quote.

After an Order is placed in the Website and payment provided (or payment terms accepted), Monil will send an order confirmation to the email address provided. This confirmation serves informational purposes only and does not constitute acceptance of the Order. Monil accepts the Order either by sending an explicit acceptance notice or by dispatching the Product(s). If Monil refuses an Order, it will notify the Buyer by email within thirty (30) days.

Monil reserves the right to adjust prices on its Website at any time. Price increases for subscriptions will apply only to subsequent billing periods and will be communicated to active subscribers in advance in accordance with applicable state automatic renewal laws (see Section 3).

3. Payment and Prepayment

Orders placed on the Website may be paid by credit card, debit card, or other payment methods displayed at checkout. If paid by credit card or debit card, 100% of the purchase price is charged when the Buyer places the Order.

Monil reserves the right to require prepayment in full from any Buyer, including certain business customers, prior to shipment or fulfillment of an Order. Where prepayment is required, Monil will clearly disclose this requirement before the Buyer completes the Order. Monil is not obligated to ship Products or initiate fulfillment until prepayment has been received in full. This policy applies regardless of the payment method chosen.

If the Buyer selects an invoice payment option (where offered), payment is due in full within thirty 14 days of the invoice date. Monil is not obligated to ship Products or provide Services prior to receiving payment in full where an invoice option is selected.

Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable state law. This interest provision is intended for commercial (business) Buyers; consumer Buyers' rights under applicable state law are not waived.

In cases of prior payment default or reasonable documented doubt regarding a Buyer's solvency or creditworthiness, Monil reserves the right to require security, prepayment, or to accelerate all outstanding amounts.

Subscription and Automatic Renewal. Monil's Services are sold on a subscription basis, the subscription will automatically renew at the end of each billing period unless cancelled before renewal. The recurring charge amount and frequency will be clearly disclosed at checkout at the Website, in the Quote and in the order confirmation email. Buyers may cancel at any time, and cancellation will take effect at the end of the current billing period. To cancel, Buyers may contact support@monil.com (mailto:support@monil.com) or use the cancellation option available in their customer portal where they can adjust the number of subscriptions.

Monil is not responsible for fees charged by the Buyer's bank or payment provider.

Subscription and usage-based adjustments and subscription true-upMonil’s subscription fees are based on the number of active collars in use. A collar is deemed active when it is assigned to an animal within the system.

Monil reserves the right to monitor actual usage and compare it to the number of subscribed collars. If the number of active collars exceeds the subscribed quantity, Monil may invoice the Buyer in arrears for such excess usage.

Any excess usage identified will be billed at the applicable subscription rate and will automatically initiate a new subscription commitment for the corresponding number of additional collars, with a minimum term of twelve (12) months from the date such collars are first activated.

The Buyer is responsible for ensuring that the number of subscribed collars accurately reflects actual usage at all times.

 

4. Delivery and Shipping

Monil will ship Products within the timeframe stated on the Website or at checkout. If no timeframe is stated, Monil will ship within 30 days of receiving a completed Order and full payment (or accepted payment terms). If Monil cannot ship within the stated or 30-day period, Monil will: (1) notify the Buyer of the delay and provide a revised shipping date; (2) offer the Buyer the option to consent to the delay or receive a full refund; and (3) process refunds promptly if the Buyer does not consent to the delay.

By placing an Order, the Buyer acknowledges they may be pre-ordering a product not yet manufactured or ready to ship, and that estimated delivery dates are approximate.

Monil reserves the right to make partial deliveries where doing so does not unreasonably affect the Buyer.

Products will be delivered to the address specified at checkout. PO Box addresses are not accepted. The Buyer is responsible for providing a correct and complete delivery address. Monil is not liable for losses resulting from an incorrect address provided by the Buyer.

Delivery is deemed complete when the Buyer or their representative takes possession of the Product(s). If delivery is attempted but the Product is not collected or received due to circumstances attributable to the Buyer, risk of loss passes to the Buyer at the time of the attempted delivery.

Monil reserves the right to charge reasonable additional shipping, storage, and handling costs resulting from the Buyer's failure to collect Products in a timely manner.

Prohibited Cross-Border Use. Monil Products are sold and supported only in the country in which they were originally purchased. Products purchased in the United States are intended for use in the United States only. Buyers may not transport, export, or use Monil Products outside the United States without prior written approval from Monil. Unauthorized cross-border use may void the warranty and may violate applicable export control laws, including the Export Administration Regulations (EAR) administered by the US Bureau of Industry and Security. Buyers are solely responsible for compliance with all applicable export and import laws.

5. Cancellation and Refunds

Once an Order is placed, Monil strives to fulfill it as soon as possible. Subject to the Buyer's rights under applicable law and this Section, cancellation by the Buyer is generally not available after Order placement.

During periods of extended delivery times, Buyers may request cancellation by contacting support@monil.com (mailto:support@monil.com). If Monil confirms the cancellation, the Buyer is entitled to a full refund of the purchase price. Refunds will be processed within 30 days of confirmed cancellation, except as noted below.

Because funds may be used for manufacturing and procurement, Monil reserves the right to delay the payout of a refund for up to 90 days where operationally necessary, provided Monil notifies the Buyer of the delay. Monil will endeavor to issue refunds as promptly as possible.

Monil also reserves the right to cancel any Order prior to shipment at its discretion. In such event and if a prepayment has already been received, Monil will refund the full amount within 10 business days.

All US consumer Buyers retain any additional cancellation and refund rights granted under applicable federal or state consumer protection law. To the extent any cancellation provision in these Terms conflicts with applicable law in your state, the applicable law controls.

6. Right of Withdrawal / Return Policy

During the pre-order period (as defined on the Website), Buyers may withdraw from the contract as described by the delivery-date guarantee posted on the Website at the time of purchase. The Withdrawal Period ends when the Product is shipped.

If a Buyer wishes to withdraw, they must notify Monil at support@monil.com (mailto:support@monil.com) within the Withdrawal Period. Monil will confirm receipt and provide refund instructions. Withdrawal requests received outside the Withdrawal Period will not qualify for a refund under this Section, subject to applicable state law rights.

Refunds reflect only the amount actually paid by the Buyer, net of any promotions or discounts applied. Refunds are issued via the original payment method.

Monil does not accept returns of Products that are not defective or incorrectly delivered. Warranty claims for defective Products are governed by Section 9. Where applicable state law requires disclosure of a return policy at the point of sale, Buyers are advised that Monil's general policy is no-returns on non-defective items, as disclosed here and at checkout.

7. Force Majeure

Monil shall not be liable for delayed or defective Products or failure to meet obligations where caused by events beyond its reasonable control, including strikes, labor disputes, acts of God, inability to obtain materials or services, war, terrorism, epidemics, pandemics, government actions, or other causes beyond Monil's reasonable control. Monil will promptly notify the Buyer of any such event.

Performance of the affected obligation will be suspended for the duration of the event. If the delay continues for more than sixty (60) days, either party may terminate the affected order, and Monil will refund prepaid amounts for unshipped Products. Force majeure does not excuse Monil's obligation to notify Buyers of shipping delays and offer refund options in accordance with Section 4.

8. Intellectual Property Rights

As between the parties, Monil solely owns all intellectual property rights in and to the Products and Services, including design, technology, software, data, functionality, and documentation.

Buyer shall not: (i) copy, modify, or reverse engineer any part of the Products or Services; (ii) decompile or disassemble any software; (iii) create derivative works; (iv) rent, lease, or distribute rights to the Products or Services; (v) export the Products outside the Territory without Monil's prior written approval (see also Section 4); or (vi) use the Products or Services to build a competitive product or service.

Buyer obtains no proprietary rights in Monil's trademarks, service marks, trade names, copyrighted material, or patents. The compilation of data included in or made available through the Services and/or Products is the exclusive property of Monil and protected by US and international copyright laws.

9. Limited Warranty

Monil warrants that Products will substantially conform to Monil's published specifications and be free from defects in design, materials, and workmanship under normal use for a period of sixty (60) months from the date of delivery (the "Warranty Period"). Normal Use means use of the hardware in accordance with Monil's user manual (https://monil.com/us/support (https://monil.com/us/support)) and its intended purpose. Monil has sole authority to determine whether use qualifies as Normal Use, exercised reasonably and in good faith.

This is a limited warranty. To the extent permitted by applicable law, this warranty excludes all implied warranties, including the implied warranty of merchantability and fitness for a particular purpose. Some states do not allow the exclusion of implied warranties, so this exclusion may not apply to you. You may also have other rights that vary from state to state.

Monil's sole obligation under this warranty is, at Monil's option: (1) repair, (2) replace, or (3) refund the purchase price of defective or non-conforming Products covered by this warranty. These remedies are exclusive, subject to applicable state law. For California Buyers, if Monil is unable to repair or replace a defective Product within a reasonable number of attempts, California consumers may be entitled to a full refund under the California Song-Beverly Consumer Warranty Act.

The warranty applies only to Products paid in full with valid proof of purchase (order number or sales invoice). The warranty is for the benefit of the original Buyer and extends to second-hand purchasers who can demonstrate the Warranty Period has not expired.

Network Infrastructure Disclaimer. Monil does not guarantee access to any particular Network Infrastructure Provider or any particular signal strength. The performance of Monil Products that rely on cellular, satellite, or other wireless networks depends on third-party network infrastructure beyond Monil's control. Network availability, coverage, and signal strength may vary by location and are subject to the terms and conditions of the applicable Network Infrastructure Provider. Monil is not liable for any loss, damage, or claim arising from limited, interrupted, or unavailable network access or signal strength.

This warranty does not cover:

  • Damage from alteration, accident, abuse, neglect, or misuse
  • Improper wiring or installation
  • Use outside Monil's published specifications
  • Ordinary wear and tear
  • Acts of God or disasters
  • Unauthorized modifications or attachments
  • Failure of third-party equipment connected to the Product
  • Products without valid proof of purchase
  • Lost or stolen products
  • Products repaired by unauthorized third parties
  • Purchases from unauthorized resellers (Monil has no authorized resellers)
  • Free products
  • Non-quality-related issues arising more than 30 days after purchase

This limited warranty gives you specific legal rights, and you may also have other rights which vary from state to state.

10. Warranty Claims — Notification and Service

The Buyer must notify Monil without undue delay after discovering a non-conformity or defect by emailing support@monil.com (mailto:support@monil.com) with a description of the issue and proof of purchase.

The Buyer is responsible for prepaying and covering the cost of shipping Products returned to Monil for warranty service. Monil will pay for return shipping of Products to the Buyer following warranty service.

Monil does not accept returns for Products that are not defective or incorrectly delivered.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Monil's total cumulative liability to the Buyer for any and all claims arising out of or related to these Terms and Conditions, the Products, or the Services — whether based on warranty, contract, tort, statute, or any other legal theory — shall not exceed the purchase price actually paid by the Buyer for the specific Product or Service giving rise to the claim.

For claims related to subscription Services, Monil's liability is limited to the total fees paid by the Buyer for the specific Service during the twelve (12) months preceding the event giving rise to the claim.

To the maximum extent permitted by applicable law, Monil shall not be liable for any lost profits, loss of data, loss of goodwill, or any indirect, incidental, punitive, special, or consequential damages, regardless of the legal theory asserted.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

Monil does not guarantee that animals will remain within virtual boundary zones set by the Buyer. Monil is not liable for any loss or damage related to animals moving outside virtual boundaries, or for any third-party claims related to animal welfare or animal actions, except where caused by Monil's gross negligence or willful misconduct.

12. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles, except where applicable federal law applies.

Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions or the Products and Services shall first be submitted to informal negotiation for a period of thirty (30) days. If not resolved informally, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules (as applicable), with proceedings conducted in English.

WAIVER OF CLASS ACTION: TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS MUST BE BROUGHT IN THE BUYER'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. SOME STATES DO NOT ALLOW CLASS ACTION WAIVERS IN CONSUMER CONTRACTS; THIS WAIVER MAY NOT APPLY TO YOU.

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

The Buyer does not waive any rights or remedies available under applicable US federal or state consumer protection laws by agreeing to these Terms and Conditions.

13. Promotions

Promotional discounts are for the Buyer's personal use only and not for commercial or resale purposes. Discount codes are non-transferable and may not be combined with other offers unless stated otherwise. Codes may be limited to one use per customer, to eligible products, and to a stated duration as disclosed at checkout.

Any abuse or misuse of a promotion (including commercial resale) may result in cancellation of the order and/or the code. Monil reserves the right to modify or cancel any promotion at any time without prior notice. By using a discount code, the Buyer agrees to these terms.

14. Entire Agreement

These Terms and Conditions, together with Monil's Terms of Use and Privacy Policy, constitute the entire agreement between Monil and the Buyer with respect to the subject matter hereof, and supersede all prior agreements, representations, and understandings.

16. Miscellaneous

If any provision of these Terms and Conditions is held invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

Any failure or delay by Monil to exercise any right or remedy under these Terms and Conditions shall not operate as a waiver.

These Terms and Conditions were last updated on 01 April 2026. Monil recommends that Buyers retain a copy of these Terms at the time of purchase.
